End User License Agreement

These AerialReports CRM Terms of Service and End User License Agreement, together with any applicable order form, subscription checkout, proposal, invoice, pricing page, onboarding agreement, signed agreement, product-specific terms, and incorporated policies, form a legal agreement between Northway Management & Consulting LLC, doing business as AerialReports, and the person or entity accessing, purchasing, subscribing to, or using the CRM Services.

Throughout this Agreement, “AerialReports,” “Aerial Reports,” “we,” “us,” and “our” refer to Northway Management & Consulting LLC and its applicable affiliates, contractors, vendors, and authorized service providers. “Customer,” “you,” and “your” refer to the company, contractor, account owner, subscriber, individual, or legal entity using the CRM Services. “Authorized Users” means employees, agents, subcontractors, sales representatives, administrators, or other users invited to access your CRM account.

By creating an account, clicking to accept, signing an order form, paying an invoice, starting a trial, accessing the CRM dashboard, installing or using a mobile app, enabling a lead widget, submitting a measurement order, using an integration, or otherwise using the CRM Services, you agree to this Agreement. If you use the CRM Services on behalf of a company, you represent that you have authority to bind that company. If you do not agree, do not access or use the CRM Services.

1. Services Covered

This Agreement applies to AerialReports CRM, AerialReports Contractor OS, Quantum 3D, lead widgets, instant estimator tools, CRM dashboards, pipeline tools, mobile applications, homeowner portals, measurement ordering tools, roof reports, wall reports, gutter reports, siding and exterior reports, blueprint reports, deck reports, 3D viewers, PDF reports, ESX files, XML files, estimating tools, proposal tools, e-signature tools, payment features, SMS and email communication tools, scheduling tools, integrations, APIs, automations, AI-assisted features, onboarding, support, and any related AerialReports software, services, websites, applications, reports, or deliverables collectively referred to as the “CRM Services.”

Some services may be available only on certain plans, may require add-ons, may be usage-based, may be in beta, may be subject to third-party availability, or may require a separate written agreement.

2. Relationship to Other AerialReports Terms

This Agreement supplements the general AerialReports Terms and Privacy Policy available on AerialReports.com. For CRM-related services, subscriptions, software access, integrations, communications, customer data, payment features, SMS features, lead widgets, homeowner portals, and measurement ordering through the CRM, this Agreement controls if there is a conflict with the general website terms.

Your use of the CRM Services is also subject to the AerialReports CRM Privacy Policy and any applicable SMS terms, payment terms, subscription terms, order terms, third-party integration terms, and written agreements between you and AerialReports.

3. Eligibility and Authority

You must be at least 18 years old to use the CRM Services. If you use the CRM Services for a company, contractor, partnership, corporation, limited liability company, trust, or other entity, you represent and warrant that you are authorized to bind that entity to this Agreement.

You are responsible for all actions taken through your account and by your Authorized Users.

4. License Grant

Subject to your compliance with this Agreement and payment of all applicable fees, AerialReports grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the CRM Services during the subscription term solely for your internal business purposes.

This is a license to use the CRM Services. It is not a sale of software, source code, platform rights, data models, templates, measurement methods, algorithms, report engines, designs, workflows, or intellectual property.

Each seat or user license is assigned to one individual Authorized User unless otherwise stated in your plan. You may not share logins, bypass seat limits, resell access, or allow unauthorized users to access the CRM Services.

5. Account Registration and Security

You agree to provide accurate, current, and complete account information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

You must promptly notify AerialReports if you suspect unauthorized access, credential compromise, data breach, misuse, or security incident involving your account.

AerialReports may suspend access if we reasonably believe your account is being used fraudulently, unlawfully, insecurely, abusively, or in violation of this Agreement.

6. Subscription Plans, Trials, Billing, and Payment

CRM Services may be offered under monthly, annual, trial, promotional, usage-based, volume-based, setup-fee, onboarding-fee, measurement-credit, or custom pricing plans.

You agree to pay all applicable subscription fees, setup fees, onboarding fees, usage charges, measurement charges, add-on fees, SMS fees, e-signature fees, payment-processing fees, storage fees, integration fees, overage fees, taxes, and other amounts shown at checkout, in your subscription page, order form, invoice, pricing page, or written agreement.

Unless otherwise stated, subscriptions automatically renew at the end of each billing period until cancelled. You authorize AerialReports and its payment processors to charge your credit card on file, saved payment method, card token, account funds balance, or other approved payment method for recurring subscription fees, usage charges, add-ons, measurement orders, taxes, and other amounts due.

If payment fails, AerialReports may retry payment, notify you, restrict features, suspend access, stop report delivery, disable integrations, or terminate the account. You remain responsible for unpaid amounts, including collection costs and reasonable attorney fees where permitted by law.

Prices, plans, feature availability, add-ons, and usage fees may change. If pricing changes apply to an existing subscription, AerialReports will use commercially reasonable efforts to provide notice before the change takes effect, unless the change relates to taxes, third-party pass-through fees, payment processor fees, SMS or carrier fees, compliance fees, or other variable costs outside AerialReports’ control.

7. Cancellation and Refunds

You may cancel your CRM subscription according to the cancellation method available in the CRM dashboard, billing portal, written agreement, or support process.

Unless otherwise stated in writing, subscription fees, setup fees, onboarding fees, measurement orders, completed reports, usage-based fees, SMS charges, payment-processing charges, e-signature charges, rush or express fees, integration fees, and add-on charges are non-refundable.

If you cancel, you may continue to have access until the end of the paid billing period unless your account is terminated for violation of this Agreement. Cancellation does not relieve you of amounts already incurred.

AerialReports may offer refunds, credits, or courtesy adjustments at its sole discretion. Providing a credit or refund in one instance does not create a right to future refunds.

8. Measurement Orders, Reports, and Deliverables

AerialReports may provide roof measurements, wall measurements, gutter measurements, siding and exterior measurements, blueprint takeoffs, deck measurements, 3D reports, PDF reports, ESX files, XML files, sketches, estimate files, and other deliverables through or in connection with the CRM Services.

Measurement reports may be generated using aerial imagery, satellite imagery, blueprints, drone imagery, customer-submitted information, third-party data, technician review, manual processes, computer vision, AI-assisted processes, or a combination of methods.

You are responsible for providing accurate addresses, property details, building selections, photos, blueprints, instructions, and other information required to complete orders.

AerialReports measurement reports are intended to assist with estimating, planning, sales, documentation, claims, and project workflows. They are not a substitute for field verification, professional engineering, architectural plans, code review, permit approval, structural analysis, insurance coverage decisions, or contractor judgment.

Before relying on any measurement, report, sketch, estimate, diagram, quantity, material list, proposal, claim document, or CRM output, you must review and verify it for your intended use. You are solely responsible for final bids, contracts, supplements, material orders, installation decisions, claim submissions, code compliance, and customer-facing commitments.

AerialReports may correct, revise, or redo reports in accordance with its then-current report policy, but AerialReports does not guarantee that every imagery source, blueprint, property view, tree-covered area, obstruction, hidden condition, roof change, or customer-submitted detail will be complete, current, visible, or error-free.

9. Accuracy, Verification, and No Professional Advice

The CRM Services may include measurements, estimates, proposal templates, AI-assisted outputs, material lists, claim support, pricing tools, instant estimator ranges, lead qualification, roof reports, 3D visualizations, and other decision-support tools.

These tools are provided for business assistance only. AerialReports does not provide legal, engineering, architectural, insurance, tax, accounting, permitting, building-code, or professional construction advice through the CRM Services.

You must independently verify all outputs before use. You are responsible for your business decisions, pricing, contracts, customer communications, warranties, insurance claim submissions, materials, safety practices, permits, code compliance, and job execution.

10. Customer Data

As between you and AerialReports, you retain ownership of Customer Data entered into or uploaded to the CRM Services by you or on your behalf. “Customer Data” includes your leads, customer records, homeowner information, project details, uploaded files, communications, photos, documents, internal notes, and business records.

You grant AerialReports a non-exclusive, worldwide license to host, store, process, transmit, display, reproduce, modify, and use Customer Data as necessary to provide, secure, support, maintain, and improve the CRM Services; fulfill measurement and report orders; operate integrations; process payments; provide support; comply with law; and enforce this Agreement.

You represent and warrant that you have all rights, permissions, notices, and consents necessary to provide Customer Data to AerialReports and to allow AerialReports to process it as described in this Agreement and the CRM Privacy Policy.

11. AerialReports Data, Platform Data, and Aggregated Data

AerialReports owns the CRM Services, software, workflows, templates, report formats, measurement processes, designs, documentation, dashboards, algorithms, AI tools, automation logic, user interface, code, know-how, trademarks, trade secrets, product improvements, and related intellectual property.

AerialReports may create, own, and use aggregated, anonymized, or de-identified data derived from CRM usage, measurement workflows, report production, feature usage, system performance, and Customer Data, provided it does not identify you, your customers, or a specific individual. AerialReports may use such data to improve products, develop features, monitor performance, create benchmarks, enhance measurements, train internal systems, and support analytics.

12. Uploaded Content and User Responsibilities

You are solely responsible for all content uploaded, entered, transmitted, or generated by you or your Authorized Users through the CRM Services.

You agree not to upload or transmit content that is unlawful, fraudulent, infringing, defamatory, obscene, invasive of privacy, harmful, malicious, or otherwise inappropriate.

You must not upload sensitive personal information unless it is necessary for your lawful use of the CRM Services and you have obtained all required consent. You are responsible for protecting sensitive documents, claim materials, identification information, payment information, employee information, and homeowner data.

13. Homeowner Portals, Lead Widgets, and Instant Estimator Tools

The CRM Services may include homeowner-facing pages, lead forms, instant estimator widgets, proposal links, customer portals, 3D viewer links, appointment forms, payment links, and document-sharing tools.

You are responsible for how these tools are presented to your customers, including pricing claims, warranty statements, advertising claims, service representations, consent language, disclaimers, estimate ranges, and follow-up communications.

Instant estimator results, budget ranges, preliminary roof squares, sales ranges, or automated quotes are estimates only and may be incomplete or inaccurate. You must review and confirm all pricing, scope, measurements, materials, and contract terms before presenting a final proposal or entering into a customer agreement.

14. SMS, Email, Calls, and Customer Communications

The CRM Services may allow you to send or automate SMS messages, emails, reminders, proposal notices, customer portal messages, payment links, review requests, appointment confirmations, order updates, and other communications.

You are responsible for complying with all laws that apply to your communications, including the Telephone Consumer Protection Act, CAN-SPAM, CASL, state privacy laws, telemarketing rules, consumer protection laws, and any carrier or provider requirements.

You must obtain all required consent before sending SMS, marketing emails, calls, prerecorded messages, artificial voice messages, autodialed messages, or promotional communications. You must honor opt-out requests promptly and must not send messages to anyone who has withdrawn consent, opted out, or asked not to be contacted.

Message frequency may vary. Message and data rates may apply. SMS recipients may reply STOP to opt out and HELP for help where supported. Carriers are not responsible for delayed or undelivered messages.

AerialReports may suspend or restrict messaging features if we believe your account is violating laws, carrier rules, third-party provider rules, platform policies, consent requirements, deliverability standards, or this Agreement.

15. Payments Collected Through the CRM

If payment features are enabled, the CRM Services may allow you to request, process, or track payments from your customers through third-party payment processors.

AerialReports is not a bank, escrow agent, lender, money transmitter, or financial advisor. Payment processing is provided by third-party payment processors and is subject to their terms, fees, risk rules, chargeback rules, reserve rules, prohibited-business rules, settlement timing, and compliance obligations.

You are responsible for your pricing, invoices, taxes, refunds, disputes, chargebacks, customer authorizations, and compliance with payment processor requirements.

AerialReports may receive or display payment status information but is not responsible for delays, holds, reserves, reversals, chargebacks, disputes, or processor decisions.

16. Third-Party Services and Integrations

The CRM Services may integrate with third-party services such as Google, QuickBooks, Square, Stripe, Twilio or other SMS providers, email providers, cloud storage, mapping providers, supplier systems, e-signature services, AI providers, lead sources, and other business applications.

Third-party services are not controlled by AerialReports and may be subject to separate terms, fees, availability, security practices, data practices, and usage restrictions. AerialReports is not responsible for third-party service failures, downtime, data loss, pricing changes, API changes, integration changes, compliance actions, suspension, or termination.

You authorize AerialReports to access, transmit, receive, process, and store data from third-party services as necessary to provide the integrations you enable.

AerialReports may modify, suspend, replace, or discontinue integrations at any time, including if a third-party provider changes its API, terms, pricing, access requirements, security requirements, or availability.

17. Google Services

If you connect Google services, you authorize AerialReports to access and use the Google data necessary to provide the user-facing CRM features you enable, such as calendar scheduling, file access, email identity, document storage, or related workflows.

AerialReports will use Google user data only as described in the CRM Privacy Policy and as permitted by applicable Google API policies. You may revoke Google access through your Google account permissions or CRM settings where available. Some Google-related features may stop working if access is revoked.

18. AI and Automated Features

The CRM Services may include AI-assisted or automated features for tasks such as content generation, summaries, lead qualification, measurement assistance, estimate assistance, proposal support, workflow automation, report support, data extraction, and recommendations.

AI and automated outputs may be inaccurate, incomplete, outdated, biased, or unsuitable for your specific project. You are responsible for reviewing, editing, verifying, and approving all outputs before relying on them.

You agree not to submit content to AI features if you do not have the right to use that content. You must not use AI features to generate unlawful, misleading, discriminatory, infringing, deceptive, or harmful content.

AerialReports may label certain AI or automation features as beta, experimental, preview, or coming soon. Such features may be changed, limited, suspended, discontinued, or inaccurate and are provided without any guarantee.

20. Support, Maintenance, and Availability

AerialReports may provide support through email, helpdesk, chat, phone, documentation, onboarding sessions, or other channels. Support availability may vary by plan.

The CRM Services may be unavailable from time to time due to maintenance, upgrades, outages, third-party failures, internet issues, security events, force majeure events, or other circumstances. AerialReports does not guarantee uninterrupted or error-free service.

AerialReports may modify, update, enhance, suspend, discontinue, or limit features at any time. We may also release new features, remove outdated features, change workflows, adjust plans, update user interfaces, or change technical requirements.

21. Beta, Trial, and Coming Soon Features

Some features may be identified as beta, trial, preview, experimental, pilot, early access, or coming soon. These features may not be complete, may contain errors, may be changed or removed, and may not be covered by the same support or reliability commitments as generally available features.

You use beta features at your own risk. AerialReports is not obligated to release any beta or coming soon feature as a permanent feature.

22. Confidentiality

Each party may receive confidential or proprietary information from the other. Confidential information includes non-public business, technical, pricing, customer, product, software, report-production, workflow, security, and financial information.

Each party agrees to use reasonable care to protect confidential information and to use it only for purposes related to this Agreement. Confidentiality obligations do not apply to information that is public, already known without restriction, independently developed, lawfully received from another source, or required to be disclosed by law.

23. Intellectual Property

AerialReports retains all rights, title, and interest in the CRM Services, software, websites, designs, code, workflows, dashboards, report templates, measurement processes, algorithms, automation, AI tools, documentation, logos, trademarks, trade names, service marks, and related intellectual property.

You may not remove, alter, or obscure AerialReports branding, copyright notices, trademarks, disclaimers, or proprietary notices unless expressly allowed by your plan or written agreement.

Feedback, suggestions, ideas, requests, or recommendations you provide may be used by AerialReports without restriction or compensation.

24. Publicity

Unless you opt out in writing or the parties agree otherwise, AerialReports may identify your company as a customer using your name and logo in customer lists, websites, presentations, and marketing materials. AerialReports will not publicly disclose your confidential project data or homeowner information for marketing without permission.

25. Termination and Suspension

AerialReports may suspend or terminate your access if:

Upon termination, your right to access the CRM Services ends. AerialReports may retain certain data as described in the CRM Privacy Policy and may delete account data according to its retention practices.

26. Data Export After Cancellation

AerialReports may provide reasonable export tools or support for certain CRM data depending on your plan, technical feasibility, account status, and payment status.

You are responsible for exporting data before cancellation or termination. AerialReports is not required to maintain your account data indefinitely after cancellation or termination.

Some data, including system logs, backups, payment records, report production records, compliance records, SMS consent records, and legal records, may not be included in user exports.

27. Warranties and Disclaimers

The CRM Services and all reports, outputs, integrations, templates, AI features, automations, estimates, measurements, and deliverables are provided “as is,” “as available,” and “with all faults” to the fullest extent permitted by law.

AerialReports disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, uninterrupted operation, error-free operation, and suitability for your business needs.

AerialReports does not warrant that:

28. Limitation of Liability

To the fullest extent permitted by law, AerialReports will not be liable for indirect, incidental, special, consequential, punitive, exemplary, or enhanced damages, including lost profits, lost revenue, lost business, lost opportunities, lost goodwill, lost data, replacement costs, customer claims, project losses, claim denials, material-order errors, installation errors, or business interruption.

To the fullest extent permitted by law, AerialReports’ total liability for all claims arising out of or related to the CRM Services or this Agreement will not exceed the amounts paid by you to AerialReports for the CRM Services during the three months before the event giving rise to the claim, or one hundred dollars, whichever is greater.

Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.

29. Indemnification

You agree to defend, indemnify, and hold harmless AerialReports and its owners, officers, employees, contractors, affiliates, vendors, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

30. Governing Law and Venue

This Agreement is governed by the laws of the State of New Hampshire, without regard to conflict-of-law principles, unless another jurisdiction is required by applicable law or stated in a written agreement.

Subject to any arbitration provision or required legal process, the parties agree that courts located in Hillsborough County, New Hampshire, will have jurisdiction over disputes arising from this Agreement.

31. Force Majeure

AerialReports will not be liable for delay or failure to perform due to events beyond its reasonable control, including acts of God, natural disasters, storms, fires, floods, pandemics, labor disputes, internet outages, utility failures, cyberattacks, war, terrorism, government action, third-party provider failures, payment processor outages, carrier issues, API changes, or other events outside AerialReports’ reasonable control.

32. Changes to This Agreement

AerialReports may update this Agreement from time to time. We will update the “Last Updated” date when changes are made. If we make material changes, we may provide notice through email, the CRM dashboard, website notice, or other reasonable means.

Your continued use of the CRM Services after updated terms become effective means you accept the updated terms. If you do not agree, you must stop using the CRM Services and cancel your subscription.

33. SMS Provider, Carrier Compliance, and A2P 10DLC

If you use the CRM Services to send SMS, MMS, or messaging in the United States, you are responsible for registering your business brand and each messaging campaign with the applicable SMS provider, aggregator, or carrier registration program, including but not limited to A2P 10DLC brand and campaign registration, Toll-Free verification, short-code approvals, and any similar requirements imposed by Twilio, other messaging providers, or U.S. wireless carriers.

You are responsible for accurate registration information, honest use-case selection, opt-in method documentation, sample-message accuracy, throughput limits, monthly volume declarations, brand-vetting fees, campaign fees, carrier pass-through fees, and any suspensions, blocks, filtering, throughput reductions, deactivations, or fines resulting from non-registration, misrepresentation, or violation of carrier or provider rules.

You will not use the CRM Services for messaging content prohibited by U.S. wireless carriers, including SHAFT-C content (sex, hate, alcohol, firearms, tobacco, cannabis), high-risk financial content, phishing, deceptive content, or content prohibited by your provider's acceptable-use policy. AerialReports may suspend, throttle, or terminate your SMS features without notice if we, a provider, or a carrier reasonably believe your messaging violates law, carrier rules, provider policy, or this Agreement, and you remain responsible for any resulting fees, fines, or damages.

You will maintain records of consent for at least four (4) years, or longer if required by applicable law, and will produce those records within five (5) business days on our request or on the request of a carrier, provider, regulator, or court.

34. Insurance Claims, Adjusting, and Public Adjusting

AerialReports is a software and measurement provider. AerialReports is not a licensed insurance adjuster, public adjuster, contractor, attorney, engineer, architect, or insurance producer, and does not provide claim negotiation, claim adjusting, coverage interpretation, or legal advice through the CRM Services. Measurement reports, ESX files, XML files, PDF reports, estimate templates, proposal templates, AI outputs, and CRM tools are provided to assist with your documentation and workflow only.

You are solely responsible for how you present measurements, estimates, scope, pricing, supplements, code items, storm damage descriptions, and other content to homeowners, adjusters, carriers, third-party administrators, program administrators, or any other party. You will not represent that AerialReports guarantees claim outcomes, coverage, approvals, supplement amounts, or scope items.

If you use CRM Services to prepare or transmit any Assignment of Benefits, contingency agreement, direction to pay, or similar instrument, you are solely responsible for complying with all state and federal laws governing those instruments (including disclosures, waiting periods, mandatory language, notarization, and consumer protection requirements), and you will indemnify AerialReports against any claim arising from your use of such instruments through the CRM Services.

35. Measurement Reports — Additional Disclaimers

Measurement reports and related deliverables are professional assistance products and are not, and will not be represented as, engineered drawings, permit-set drawings, architectural plans, load calculations, structural analyses, wind-uplift certifications, or code-compliance approvals. Measurements are derived from imagery, blueprints, drones, third-party data, technician review, computer vision, or AI-assisted processes and may be limited by tree cover, cloud cover, seasonal foliage, image age, image resolution, roof-plane obstructions, added structures, removed structures, chimneys, skylights, satellite dishes, HVAC equipment, parapet caps, hidden penetrations, sub-roof conditions, or property changes made after imagery capture.

You are responsible for verifying measurements, field conditions, code requirements, wind zones, snow loads, hail history, seismic requirements, historical-district requirements, HOA requirements, and any other project-specific factors before pricing, contracting, ordering materials, submitting supplements, or performing work.

Reports are provided under our then-current report and redo policy, which may include limits on redo eligibility, redo timeframes, partial-refund conditions, credit-only remedies, and dispute-resolution procedures. Our aggregate liability for any report is subject to Section 28 (Limitation of Liability), and remedies for a defective report will not exceed a redo, credit, or refund of the fees paid for that specific report at our option unless a written agreement expressly provides otherwise.

36. Photos, Location, Biometric Data, and Field Devices

Certain CRM features may collect photos, GPS coordinates, EXIF metadata, timestamped location data, on-site check-in data, or field-visit information from mobile devices used by your Authorized Users. You are responsible for informing your Authorized Users about the collection and use of this data, obtaining any required consents, and using this information only in accordance with applicable law.

You will not use CRM Services to collect biometric identifiers, biometric information, retina scans, iris scans, fingerprints, voiceprints, facial-geometry scans, or similar data (as defined by Illinois BIPA, Texas CUBI, Washington HB 1493, or any similar state or federal law) without first obtaining all required written releases and complying with all applicable biometric-privacy statutes. AerialReports does not intend for the CRM Services to be a biometric information system, and you will indemnify AerialReports against any claim arising from your use of the CRM Services to collect or process biometric data.

37. Payment Surcharging, Convenience Fees, and Card Storage

Certain U.S. states restrict, prohibit, or regulate credit-card surcharges, convenience fees, and cash-discount programs (including but not limited to Connecticut and Massachusetts). If you enable any surcharge, convenience fee, or cash-discount feature through the CRM Services or a connected payment processor, you are solely responsible for compliance with all applicable state laws, card-network rules, payment-processor rules, and disclosure requirements.

Card numbers, bank-account numbers, and full payment credentials are handled by third-party payment processors (such as Square or Stripe) and are not stored on AerialReports servers. AerialReports may store card tokens, last-four digits, card brand, expiration month/year, and transaction identifiers as necessary to operate subscriptions, wallet top-ups, invoices, refunds, and dispute resolution.

38. Backups, Data Location, Security Program, and Breach Notification

Customer Data, CRM records, uploaded files, measurement reports, and account records are stored on infrastructure operated by third-party hosting, database, and storage providers, which may include U.S.-based cloud regions. AerialReports maintains industry-standard administrative, technical, and physical safeguards, including access controls, credential protection, encryption in transit, encrypted backups, logging, monitoring, and vendor review.

AerialReports performs automated backups of CRM data as part of normal operations. Backups are provided for AerialReports' disaster-recovery purposes and are not a substitute for your own export and archival practices.

In the event of a confirmed security incident affecting your Customer Data, AerialReports will notify you without undue delay consistent with applicable law, forensic-investigation requirements, and law-enforcement instructions. Notification timing will not be shorter than required by applicable statute, and AerialReports may withhold specific details while an investigation is pending.

39. Data Export, Post-Cancellation Grace Period, and Deletion

You may export CRM data using tools provided in your plan for as long as your account is active and in good standing. Following cancellation or non-renewal of a paid subscription, AerialReports will make commercially reasonable efforts to keep the account in a read-only, export-capable state for thirty (30) days (the "Grace Period"), unless the account is terminated for cause under Section 25 or applicable law requires earlier deletion.

After the Grace Period, AerialReports may deactivate, archive, anonymize, or delete Customer Data. Some records — including payment records, SMS consent records, security logs, compliance records, backup snapshots, and records that AerialReports is required to retain by law — may be retained after the Grace Period for the periods described in Section 15 of the CRM Privacy Policy and as required by applicable law.

40. Binding Arbitration and Class-Action Waiver

Please read this Section carefully. It affects your legal rights, including your right to a jury trial and to bring or participate in class actions. This Section applies to the maximum extent permitted by law.

You and AerialReports agree that any dispute, claim, or controversy arising out of or relating to this Agreement, the CRM Services, marketing communications, or the relationship between the parties (a "Dispute") that is not resolved through good-faith negotiation within thirty (30) days of written notice will be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules (or, for a Dispute solely involving less than $75,000, the AAA Consumer Arbitration Rules), except that either party may bring an individual action in a small-claims court of competent jurisdiction for claims within that court's jurisdiction.

Arbitration will be conducted by a single arbitrator. The seat of arbitration will be Hillsborough County, New Hampshire, and the arbitration will be conducted in English. Arbitration hearings may be conducted remotely for claims under $250,000. The arbitrator's award will be final and enforceable in any court of competent jurisdiction. The Federal Arbitration Act governs the interpretation and enforcement of this Section.

Class-Action Waiver. You and AerialReports agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of a representative or class proceeding. If a court decides that applicable law precludes enforcement of any part of this class-action waiver as to a particular claim, that claim (and only that claim) must be severed from the arbitration and may be brought in the courts identified in Section 30, and all other claims will proceed in arbitration.

30-Day Opt-Out. You may opt out of this arbitration and class-action waiver Section by sending written notice of your decision to opt out to legal@aerialreports.com with the subject line "Arbitration Opt-Out" within thirty (30) days after you first accept this Agreement. If you opt out, all other terms of this Agreement will continue to apply, and disputes will be resolved in the courts identified in Section 30.

41. Miscellaneous

Assignment. You may not assign or transfer this Agreement or your CRM account without AerialReports' prior written consent. AerialReports may assign this Agreement in connection with a merger, acquisition, sale of assets, financing, reorganization, or similar transaction.

No Waiver. Failure to enforce any right or provision is not a waiver of that right or provision.

Severability. If any provision of this Agreement is held to be unenforceable, that provision will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in full force and effect.

Entire Agreement. This Agreement, together with the CRM Privacy Policy, any order form, subscription checkout, invoice, product-specific terms, and any written agreement between the parties, constitutes the entire agreement between the parties concerning the CRM Services and supersedes prior agreements, proposals, or representations, whether oral or written.

Naming. This Agreement is referred to interchangeably as the "AerialReports CRM Terms of Service and End User License Agreement," the "EULA," the "Terms," or the "Agreement." These names refer to the same document.

U.S. Export Controls. You represent that you are not located in, and will not use the CRM Services in, any jurisdiction subject to a comprehensive U.S. embargo or in violation of U.S. export-control or sanctions laws, and that you are not listed on any U.S. government list of prohibited or restricted parties.

Accessibility. AerialReports is committed to providing accessible software. If you experience an accessibility barrier, please contact support@aerialreports.com so we can work with you on accommodations.

42. Publicity Opt-Out

If you do not want AerialReports to identify your company as a customer under Section 24 (Publicity), you may opt out at any time by emailing support@aerialreports.com with the subject line "Publicity Opt-Out". Opt-out requests will be honored on a going-forward basis within a reasonable time and do not require removal of existing joint press releases or case studies unless AerialReports agrees in writing.
